Wholesale Terms & Conditions

Wholesale Website

Approved stockists will be given access to a password protected Seed & Sprout wholesale website. This website is intended for the use of the approved stockists only, and should not be passed on to be used by any third parties. 

Payment 

All orders must be paid for prior to dispatch, payment can be made via credit card or PayPal via our wholesale website.  We can also accept direct deposit from certain stockists, please contact us if this is your preferred method of payment. 

Minimum Spend 

A minimum spend of $500 is required to qualify as a wholesale order. Orders made via the wholesale website will only allow for checkout once this criteria is met. 

Shipping

Once payment is received we aim to dispatch your order within 1-3 business days. We currently use Australia Post and charge $40 flat rate shipping within Australia. Alternatively you can arrange a freight or shipping company of your choice to pick up your order directly from our warehouse. Seed & Sprout reserves the right to change their shipping provider and/or shipping pricing at any time. 

International Shipping fees vary by country and weight and will be calculated at checkout. For further information relating to your country please contact us via email using wholesale@seedandsprout.com

Exclusivity

Seed & Sprout does not guarantee any type of exclusivity to its stockists unless otherwise discussed and an agreement is signed.

Product Availability

Products made available to stockists may not include our entire retail range, please use our wholesale website to view product availability. Any further requests for products can be made by emailing wholesale@seedandsprout.com

Cancelling and amending orders

Orders may be cancelled or amended within 24 hours of the order being placed, unless already dispatched. Cancellations and amendments after this time are at the discretion of Seed & Sprout as the products have likely been picked, packed and shipped. All cancellations are subject to a 10% restocking fee.

Returns

Returns are available if initiated within 10 business days of receipt, and all items are returned in their original condition. Return shipping is the responsibility of the buyer. All returns are subject to a 10% restocking fee. Returns due to damage after delivery will not be accepted. If items are damaged during shipping, they will be replaced with no additional charge. No credit will be extended for loss due to theft after delivery.

Refund policy

We do not provide a refund or exchange for change of mind, so please choose carefully. If the goods are faulty or not true to design then we will then help you with an exchange or refund.

Copyright & Intellectual Material

All Seed & Sprout product images and product copy are subject to copyright and are the property of Seed & Sprout. 

Approved stockists are welcome to use the Seed & Sprout logo and any of the images on the Seed & Sprout website for the purpose of promoting the product/s. All product listings must clearly state Seed & Sprout in the title and description.

Product descriptions must be written by the stockist and not copied from the Seed & Sprout website, with the exception of the ingredients. 

Online Stores

Approved online stockists are only allowed to sell on the specifically approved URL. Approved online stockists are prohibited from selling via other online outlets such as eBay, Amazon, Etsy or similar websites. 

When listing Seed & Sprout images online, the stockist must adhere to the following guidelines:

• All product listings must clearly state Seed & Sprout in the title and description.
• Product descriptions must be unique to the stockist and not copied directly from Seed & Sprout website (with exception of ingredients and other essential information)
• All Seed & Sprout owned assets must only be used for the products, Images, copy, and design must not be copied or used to promote other brands products
• MUST include Seed & Sprout attribution of products ie: Now stocking Seed & Sprout's Care range. Any use of the product name must also have Seed & Sprout tied to it.

Social Media & Advertising

Stockists are welcome to use any current Seed & Sprout published images, product descriptions and recommended retail prices. Please note that these images are still solely owned by Seed & Sprout and both companies are to agree on usage. We are also in agreement of you using your own creative images.

When making social media posts or any other paid advertising, the stockist must adhere to the following guidelines:

• Where Seed & Sprout products are advertised on a social platforms the following #tags and @accounts must be used in all instances: @seedandsprout, #seedandsprout
• Images, copy and design must not directly mirror any of Seed & Sprout ads as it causes consumer confusion and dilutes our master brand.
• Seed & Sprout logo must be included in logo lockup with stockist in any ad assets to show attribution.
•  Ads MUST include Seed & Sprout attribution of products e.g. Now stocking Seed & Sprout's Care range. Any use of the product name must also have Seed & Sprout tied to it.

We ask that all paid ads involving Seed & Sprout products are sent to us for final approval before going live.

If you require our logo for your marketing, please email us and it can be sent to you. 

We require you to keep in mind the value and reputation of our brand, and reserve the right to request you pull any ads or social media posts should we feel that this value has been diminished in any way.

Product Modifications

Seed & Sprout products can not be modified in any way for resale or distribution. Sets must remain intact and sold as such. If you are unsure about product usage please contact our team to discuss further.

International Orders

For international orders, please note that you, the purchaser, are responsible for all taxes and duty fees. We value your package for the total amount stated on your invoice. 

Law that Applies

Our agreement and these terms and conditions will be construed and governed according to the laws of New South Wales, Australia.

Agreement of Terms

Upon placing your first order with Seed & Sprout you are agreeing to the above terms and conditions. These terms are subject to change at any time. If the terms are amended they will be effective immediately. 

Termination of Agreement

Retailers in violation of any of the above terms will immediately have their wholesale account cancelled. Seed & Sprout also reserves the right to terminate a trade with a stockist at any given time at our own discretion, and for reasons outside of these terms.
